1. Agreement to Terms

Welcome to LoveVerse. These Terms of Service ("Terms," "Agreement") constitute a legally binding agreement between you ("User," "you," or "your") and Foundational Creations ("Company," "we," "us," or "our"), a company registered and operating in India, governing your access to and use of the LoveVerse application, website located at loveverse.cc, and all related services, features, content, and functionality (collectively, the "Service").

By accessing, browsing, registering for, or otherwise using the Service in any manner, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund Policy, our End User License Agreement (EULA), and all other policies and guidelines incorporated herein by reference. If you do not agree to these Terms in their entirety, you must not access or use the Service, and you must immediately discontinue any use thereof.

These Terms apply to all visitors, users, subscribers, and others who access or use the Service, whether through our website, mobile applications, APIs, or any other means. Your continued use of the Service following the posting of any changes to these Terms constitutes your acceptance of those changes.

2. Description of Service

LoveVerse is an artificial intelligence ("AI") powered platform that enables users to create personalized songs based on their personal stories, memories, and emotions. The Service leverages advanced machine learning models, natural language processing, and music generation algorithms to produce unique audio content tailored to each user's input.

Our Service includes, but is not limited to, the following features and capabilities:

• AI-generated lyrics based on user-provided stories, memories, descriptions, and prompts
• AI-composed instrumental music across multiple genres, moods, and tempos
• AI-generated vocal performances synthesized using text-to-speech and voice generation technology
• Photo collage and video creation combining user-uploaded images with generated songs
• High-quality audio file downloads in various formats
• Sharing capabilities to distribute generated content via links and social media
• Account management, song history, and content library features
• Love letter generation and poem creation powered by AI

The Service is provided on an "as is" and "as available" basis. We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice, and without liability to you. We may also impose limits on certain features or restrict your access to parts or all of the Service without notice or liability.

The quality, accuracy, and characteristics of AI-generated content may vary depending on multiple factors including but not limited to the quality and specificity of user inputs, the availability and performance of third-party AI models, server load, and technological limitations inherent in current AI systems. We do not guarantee any specific outcome, quality level, or result from the use of our Service.

3. Account Registration and Eligibility

3.1 Account Creation

To access certain features of the Service, you must create an account. You may register using Google Sign-In, Apple Sign-In, or other authentication methods we provide from time to time. By creating an account, you represent and warrant that:

• All registration information you provide is truthful, accurate, current, and complete
• You will maintain and promptly update your registration information to keep it accurate, current, and complete at all times
• You will maintain the security and confidentiality of your account credentials, including your password, authentication tokens, and any other security information
• You will immediately notify us of any unauthorized use of your account or any other breach of security by contacting support@loveverse.cc
• You accept full responsibility for all activities that occur under your account, whether or not you have authorized such activities
• You will not create more than one account per person, and you will not create an account on behalf of another person without their express permission

3.2 Account Eligibility

You must be at least thirteen (13) years of age to use the Service. If you are between thirteen (13) and eighteen (18) years of age, you represent that you have obtained the consent of your parent or legal guardian to use the Service, and that your parent or legal guardian has read and agrees to these Terms on your behalf. Users under the age of thirteen (13) are strictly prohibited from using the Service under any circumstances. We reserve the right to request proof of age or parental consent at any time.

For users in the European Union or European Economic Area, the minimum age for using the Service is sixteen (16) years, or such lower age as may be permitted by the applicable member state under the General Data Protection Regulation (GDPR). If you are below the applicable minimum age in your jurisdiction, you must have verifiable parental consent before using the Service.

3.3 Account Suspension and Termination

We reserve the right to suspend, disable, or terminate your account at any time, with or without cause, and with or without prior notice. Grounds for account suspension or termination include, but are not limited to: violation of these Terms, engagement in fraudulent or illegal activities, extended periods of inactivity, non-payment of fees, or conduct that we determine, in our sole discretion, to be harmful to the Service, other users, or third parties. Upon termination of your account, your right to use the Service will immediately cease, and we may delete your account data in accordance with our data retention policies.

4. User Content and Conduct

4.1 User-Provided Content

You retain ownership of the personal stories, descriptions, memories, photographs, and other information you provide to generate songs and other content through the Service ("User Content"). By submitting User Content to the Service, you grant Foundational Creations a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to use, reproduce, process, adapt, modify, store, and display such User Content solely for the purpose of providing, maintaining, and improving the Service, and as otherwise permitted by our Privacy Policy.

You represent and warrant that you own or have the necessary rights, licenses, consents, and permissions to submit your User Content and to grant the foregoing license. You further represent that your User Content does not infringe, misappropriate, or violate any third party's intellectual property rights, privacy rights, publicity rights, or any other proprietary or personal rights.

4.2 Prohibited Content and Conduct

You agree not to submit any User Content, or use the Service in any manner, that:

• Is unlawful, harmful, threatening, abusive, harassing, tortious, defamatory, vulgar, obscene, libelous, invasive of another's privacy, hateful, or racially, ethnically, or otherwise objectionable
• Infringes on any patent, trademark, trade secret, copyright, or other intellectual property or proprietary rights of any party
• Contains explicit sexual content, child exploitation material, or promotes violence, terrorism, or self-harm
• Impersonates any person or entity, or falsely states or otherwise misrepresents your affiliation with any person or entity
• Contains software viruses, malware, trojan horses, worms, or any other computer code, files, or programs designed to interrupt, destroy, or limit the functionality of any computer software, hardware, or telecommunications equipment
• Interferes with or disrupts the Service, servers, or networks connected to the Service, or disobeys any requirements, procedures, policies, or regulations of networks connected to the Service
• Attempts to gain unauthorized access to any portion of the Service, other accounts, computer systems, or networks connected to the Service, whether through hacking, password mining, or any other means
• Uses any robot, spider, scraper, or other automated means to access the Service for any purpose without our express written permission
• Violates any applicable local, state, national, or international law, statute, ordinance, or regulation
• Collects or stores personal data about other users without their express consent
• Promotes or facilitates illegal activities, including but not limited to money laundering, terrorist financing, or fraud

4.3 Content Moderation

We reserve the right, but have no obligation, to review, monitor, edit, modify, refuse, or remove any User Content that, in our sole judgment, violates these Terms or is otherwise objectionable. We may also take any action with respect to any User Content that we deem necessary or appropriate in our sole discretion, including if we believe that such User Content violates these Terms, infringes any intellectual property right or other right of any person or entity, threatens the personal safety of users of the Service or the public, or could create liability for us.

4.4 User Photographs and Images

If you upload photographs or images to the Service for use in photo collages, video creation, or any other feature, you represent and warrant that you own these photographs or have obtained all necessary permissions, licenses, and releases from any identifiable individuals depicted therein. You are solely responsible for ensuring that your use of any uploaded photographs complies with all applicable privacy laws and does not infringe upon any third party's rights.

5. Intellectual Property Rights

5.1 Our Intellectual Property

The Service, including but not limited to its design, layout, look, appearance, graphics, user interface, features, functionality, software, source code, algorithms, AI models, databases, trademarks, service marks, trade names, logos, and all other content and materials (excluding User Content and Generated Content), is owned by or licensed to Foundational Creations and is protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws of India and international conventions. The compilation and arrangement of all content on the Service is the exclusive property of Foundational Creations.

You are granted no right or license with respect to any of the trademarks, service marks, or logos of Foundational Creations or its licensors. Any unauthorized use of our intellectual property may violate copyright laws, trademark laws, the laws of privacy and publicity, and applicable communications regulations and statutes.

5.2 Generated Content Ownership and License

Songs, lyrics, music, vocals, videos, and other content generated through the Service using AI technology ("Generated Content") are provided to you under a license that depends on your purchase tier:

• Single Song Purchase: You receive a personal, non-exclusive, non-transferable, non-sublicensable license for personal, non-commercial use only. You may share the Generated Content on personal social media accounts with attribution to LoveVerse. Commercial use, resale, redistribution for profit, or sublicensing is strictly prohibited.
• Power Pack Purchase: You receive a personal use license with enhanced sharing rights. You may use the Generated Content at personal events such as weddings, anniversaries, and celebrations. You may share on social media and messaging platforms. Commercial use, resale, or sublicensing remains prohibited.
• Creator Bundle Purchase: You receive a commercial use license permitting use of Generated Content in monetized projects, public performances, commercial productions, YouTube videos, podcasts, and other revenue-generating activities. You may not sublicense, resell, or redistribute the Generated Content as standalone musical works or claim sole authorship.

Notwithstanding the foregoing, Foundational Creations retains a non-exclusive, worldwide, perpetual, irrevocable, royalty-free license to use, reproduce, display, and distribute any Generated Content for the purposes of operating, promoting, and improving the Service, including for marketing, demonstrations, and portfolio purposes.

5.3 AI-Generated Content Disclaimer

Generated Content is created using artificial intelligence and machine learning models. While we strive for originality and quality, we expressly disclaim any guarantee that Generated Content is entirely unique, original, or free from similarities to existing copyrighted works. AI models are trained on large datasets and may produce outputs that bear resemblance to pre-existing works. You acknowledge and accept this inherent limitation of AI-generated content.

We do not warrant that Generated Content is suitable for any particular purpose, free of errors, or compliant with any specific quality standards. The use of Generated Content is entirely at your own risk. We shall not be liable for any claims, damages, or losses arising from your use of Generated Content, including but not limited to claims of copyright infringement, defamation, or violation of any third party rights.

5.4 Third-Party Image Usage

The Service may incorporate stock photographs and images sourced from Pexels and other royalty-free image providers for use in backgrounds, graphics, marketing materials, and user interface elements. These images are used under their respective licenses (including the Pexels License) and remain the property of their respective photographers and copyright holders. Your use of the Service does not grant you any separate rights to these third-party images beyond what is displayed within the Service interface. You may not extract, download, or reuse these stock images independently of the Service.

5.5 Feedback and Suggestions

Any feedback, suggestions, ideas, enhancement requests, recommendations, or other information you provide regarding the Service ("Feedback") shall be deemed non-confidential and non-proprietary. By submitting Feedback, you grant Foundational Creations a worldwide, non-exclusive, irrevocable, royalty-free, fully paid-up, perpetual license to use, reproduce, modify, adapt, publish, distribute, and display such Feedback for any purpose without compensation, attribution, or obligation to you.

6. Payments, Pricing, and Digital Purchases

6.1 Pricing and Credits

The Service offers various pricing tiers including one-time credit purchases and bulk credit packs. All prices are displayed in the applicable currency (Indian Rupees or US Dollars) and include applicable taxes unless otherwise stated. Prices are subject to change at any time without prior notice, though any price changes will not affect purchases already completed. Current pricing is always available on our pricing page.

6.2 Nature of Digital Purchases

All purchases made through the Service constitute digital purchases of song generation credits or access to premium features. By completing a purchase, you expressly acknowledge and agree that:

• You are purchasing digital content and services, specifically AI-powered song generation credits
• The digital content will be delivered immediately or near-immediately upon purchase through the generation of your personalized song
• Once a song generation process has been initiated and completed, the digital content has been fully delivered, and the transaction is considered final
• Digital purchases are inherently non-tangible and cannot be "returned" in the traditional sense
• You waive any right of withdrawal or cooling-off period to the extent permitted by applicable law once the digital content generation process has commenced with your express consent

6.3 Payment Processing

Payments are processed through third-party payment providers, including but not limited to Razorpay, Stripe, Apple App Store, and Google Play Store. By making a purchase, you agree to the terms and conditions of the applicable payment processor. We do not store your full credit card, debit card, or bank account details on our servers. All payment information is handled securely by our payment processors in compliance with applicable PCI-DSS standards.

You are responsible for all charges incurred under your account, including applicable taxes, fees, and currency conversion charges imposed by your bank or payment provider. We are not responsible for any additional fees charged by your bank, credit card company, or other financial institution.

6.4 Refund Policy

Our complete Refund Policy is available at /refund. By making a purchase, you acknowledge that you have read, understood, and agree to our Refund Policy. In summary:

• Unused credits: If you have purchased credits but have not used any of them to generate songs, you may request a refund within seven (7) days of purchase.
• Generated songs: Once a song has been successfully generated and delivered, the credits used for that generation are non-refundable. This is because the digital product has been fully created and delivered, and the computational resources have been expended.
• Failed generations: If a song generation fails due to a technical error on our part, the credits will be automatically restored to your account, or a refund will be issued at our discretion.

6.5 Currency and Taxation

Prices may be displayed in Indian Rupees (INR) or US Dollars (USD) depending on your location. All applicable taxes, including Goods and Services Tax (GST) in India, will be calculated and applied at checkout as required by law. You are responsible for determining and paying any taxes applicable to your purchase based on your jurisdiction.

6.6 Promotional Offers and Discounts

We may from time to time offer promotional discounts, bonus credits, or special pricing. Such offers are subject to specific terms and conditions disclosed at the time of the offer. Promotional credits or discounts may have expiration dates, usage restrictions, or other limitations. We reserve the right to modify or discontinue any promotional offer at any time without prior notice.

7. AI Generation and Technology

7.1 Nature of AI-Generated Content

The Service utilizes artificial intelligence and machine learning technologies, including large language models, music generation algorithms, and voice synthesis systems, to create personalized songs and other content. You acknowledge and understand that:

• AI-generated content is produced by algorithms and may not always meet your expectations or preferences
• The quality, style, tone, and characteristics of generated content may vary based on the inputs provided, model capabilities, and other technical factors
• AI models may produce content that inadvertently resembles existing works, and we do not guarantee the absolute originality of any generated content
• We continuously update and improve our AI models, which may result in changes to the quality, style, or characteristics of generated content over time
• AI generation is a computationally intensive process, and generation times may vary based on server load, model complexity, and other factors

7.2 Third-Party AI Services

We utilize third-party AI services and models to power various aspects of the Service, including but not limited to text generation (via OpenAI, Anthropic, and similar providers), music composition, and vocal synthesis (via ElevenLabs and similar providers). Your use of the Service is also subject to the terms and policies of these third-party providers to the extent applicable. We are not responsible for any limitations, changes, or disruptions in third-party AI services.

7.3 No Guarantee of Results

We do not guarantee any specific results, quality, accuracy, completeness, or fitness for a particular purpose of any AI-generated content. The Service is provided as a creative tool, and the output is dependent on numerous factors beyond our control. You use the generated content entirely at your own risk and discretion.

8. Disclaimers and Warranties

8.1 Service "As Is"

THE SERVICE, INCLUDING ALL CONTENT, FEATURES, FUNCTIONALITY, AND AI-GENERATED CONTENT, IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND THOSE ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. WE DO NOT WARRANT THAT THE RESULTS OBTAINED FROM THE USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR SATISFY YOUR REQUIREMENTS. WE DO NOT WARRANT THAT ANY DEFECTS IN THE SERVICE WILL BE CORRECTED.

8.2 No Professional Advice

The content generated through the Service does not constitute legal, financial, medical, or any other form of professional advice. You should not rely on generated content for any purpose other than personal entertainment and creative expression.

8.3 Third-Party Services and Links

The Service may contain links to third-party websites, applications, or services that are not owned or controlled by Foundational Creations. We have no control over, and assume no responsibility for, the content, privacy policies, practices, availability, or performance of any third-party websites, applications, or services. You access and use third-party services entirely at your own risk, and we recommend that you review the terms and privacy policies of any third-party services you access through the Service.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL FOUNDATIONAL CREATIONS, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits, revenue, data, business opportunities, or goodwill
• Cost of procurement of substitute goods or services
• Damages arising from unauthorized access to or alteration of your transmissions or data
• Damages arising from the conduct of any third party on the Service
• Damages arising from any content generated through the Service, including claims of copyright infringement, defamation, or violation of publicity rights
• Damages for loss of use, data, or other intangible losses
• Any damages whatsoever arising from your use or inability to use the Service

WHETHER SUCH DAMAGES ARE BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGES.

9.1 Maximum Aggregate Liability

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT YOU HAVE ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED INDIAN RUPEES (INR 100). THIS LIMITATION OF LIABILITY SHALL APPLY TO THE FULLEST EXTENT PERMITTED BY LAW IN THE APPLICABLE JURISDICTION.

9.2 Essential Purpose

THE LIMITATIONS OF LIABILITY SET FORTH ABOVE ARE FUNDAMENTAL ELEMENTS OF THE BASIS OF THE BARGAIN BETWEEN FOUNDATIONAL CREATIONS AND YOU. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO SOME OF THE ABOVE LIMITATIONS AND EXCLUSIONS MAY NOT APPLY TO YOU, IN WHICH CASE OUR LIABILITY WILL BE LIMITED TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

10. Indemnification

You agree to indemnify, defend, and hold harmless Foundational Creations, its parent companies, subsidiaries, affiliates, officers, directors, employees, agents, licensors, service providers, contractors, and assigns (collectively, the "Indemnified Parties") from and against any and all claims, demands, actions, damages, losses, liabilities, costs, and expenses (including but not limited to reasonable attorneys' fees, court costs, and settlement amounts) arising out of or in connection with:

• Your use or misuse of the Service
• Your User Content, including any claim that your User Content infringes or misappropriates the intellectual property rights of any third party
• Your violation of these Terms or any applicable law, rule, or regulation
• Your violation of any rights of any third party, including intellectual property rights, privacy rights, or contractual rights
• Any use of Generated Content by you in a manner that infringes the rights of third parties
• Any misrepresentation made by you in connection with the Service
• Any dispute between you and any third party arising from or relating to the Service

This indemnification obligation shall survive the termination or expiration of these Terms and your use of the Service. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you will cooperate with us in asserting any available defenses.

11. Termination

11.1 Termination by You

You may terminate your account and these Terms at any time by deleting your account through the Service settings or by contacting us at support@loveverse.cc. Upon termination, your right to access and use the Service will immediately cease.

11.2 Termination by Us

We may suspend, restrict, or terminate your account and access to the Service at any time, for any reason or no reason, with or without prior notice. Without limiting the foregoing, we may terminate your account if we reasonably believe that you have violated these Terms, engaged in fraudulent or illegal activity, or engaged in conduct that could expose us to legal liability.

11.3 Effect of Termination

Upon termination of your account for any reason: (a) all licenses and rights granted to you under these Terms will immediately terminate; (b) you must immediately cease all use of the Service; (c) we may delete your account data, User Content, and Generated Content in accordance with our data retention policies; and (d) we are under no obligation to store, maintain, or provide copies of any content associated with your account. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to provisions regarding intellectual property, disclaimers, limitation of liability, indemnification, and governing law.

11.4 No Refund Upon Termination

Unless otherwise required by applicable law, no refund will be provided for any unused credits, prepaid fees, or subscription periods remaining at the time of termination, whether the termination is initiated by you or by us due to your breach of these Terms.

12. Governing Law and Dispute Resolution

12.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them or their subject matter or formation (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.2 Jurisdiction

You agree that any legal action, suit, or proceeding arising out of or relating to these Terms or the Service shall be instituted exclusively in the competent courts located in India. You consent to the exclusive jurisdiction and venue of such courts and waive any objection to the exercise of jurisdiction over you by such courts and to venue in such courts on the basis of forum non conveniens or otherwise.

12.3 Informal Resolution

Before filing any formal legal proceeding, you agree to first attempt to resolve any dispute informally by contacting us at support@loveverse.cc. We will endeavor to resolve the dispute informally within thirty (30) days of receiving your notice. If the dispute is not resolved within this thirty (30) day period, either party may then proceed to formal legal proceedings as set forth herein.

12.4 Arbitration

Any dispute arising from or relating to these Terms that cannot be resolved through informal resolution shall be submitted to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India (as amended from time to time). The arbitration shall be conducted by a sole arbitrator mutually agreed upon by both parties, or in the absence of such agreement, appointed in accordance with the said Act. The seat of arbitration shall be in India. The language of arbitration shall be English.

12.5 Class Action Waiver

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTIONS OR CLASS-WIDE ARBITRATION. If this class action waiver is found to be unenforceable in your jurisdiction, then the entirety of this arbitration provision shall be null and void with respect to you, and any disputes shall be resolved in the courts specified in Section 12.2.

13. General Provisions

13.1 Entire Agreement

These Terms, together with our Privacy Policy, Refund Policy, EULA, Cookie Policy, and any other legal notices, policies, or agreements published by us on the Service, constitute the entire agreement between you and Foundational Creations concerning the Service and supersede all prior or contemporaneous communications, proposals, agreements, and understandings, whether oral or written, between you and us regarding the Service.

13.2 Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, or if modification is not possible, shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of the remaining provisions, which shall continue in full force and effect.

13.3 Waiver

No waiver of any term or condition of these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition. Our failure to assert any right or provision under these Terms shall not constitute a waiver of such right or provision.

13.4 Assignment

You may not assign, delegate, or transfer these Terms, or any rights or obligations hereunder, without our prior written consent.
